Terms of Service

Please read these terms carefully before using Meuze.

Meuze Terms of Service

Effective Date: July 13, 2026

1. Binding Agreement

These Terms of Service ("Terms") constitute a binding agreement between PromptShop Inc., a Delaware corporation, operating under the brand "Meuze" ("Meuze," "PromptShop," "we," "us," or "the Company"), and the business entity or individual accessing or using the Service ("Customer," "you"). If Customer is entering into these Terms on behalf of a business or other legal entity, the individual accepting these Terms represents that they have authority to bind that entity, in which case "Customer" refers to that entity.

By creating an account or otherwise accessing or using the Service, Customer agrees to be bound by these Terms and PromptShop's other applicable policies, including the Privacy Policy. If Customer does not agree, Customer must not access or use the Service.

2. About PromptShop

PromptShop provides an AI-powered operations platform for quick-service, fast-casual, and multi-location restaurant groups (the "Service"). The Service automates back-office functions for food-and-beverage businesses — including invoice processing, inventory management, waste reduction, and customer service — through a suite of first-party AI agents, delivered through a web application and a companion mobile application ("Operator App," for iOS and Android) intended for use by Customer's on-the-ground staff. At Customer's direction, the Service connects to Customer's existing point-of-sale (currently Square), accounting (QuickBooks Online, Xero), and email/calendar systems through integration partners.

The Service depends on the continued availability and proper functioning of these third-party systems. PromptShop is not responsible for the acts, omissions, downtime, or data accuracy of third-party systems Customer chooses to connect, or for any resulting interruption to the Service.

The Service uses large language models and other automated analysis to generate extractions, recommendations, summaries, and other output ("AI Output"). AI Output may be incomplete, inaccurate, or unsuitable for a given purpose. AI Output is provided for informational and operational assistance only and does not constitute financial, accounting, legal, tax, or other professional advice. Customer is solely responsible for reviewing AI Output before relying on it — particularly output affecting payments, inventory commitments, hiring decisions, or financial records. PromptShop uses AI tools to improve the Service but does not guarantee the availability, accuracy, or completeness of AI Output.

PromptShop may add, modify, or discontinue features of the Service at its discretion, and will provide reasonable notice of material reductions in functionality.

3. Using the Service

Customer will, and will ensure that individuals using the Service on Customer's behalf, comply with all applicable laws and PromptShop's policies. Each individual using the Service on Customer's behalf must be at least 18 years old, authorized by Customer to do so, and not currently suspended from the Service.

Customer will not, and will not permit others to:

  • Access, or attempt to access, another customer's account, tenant environment, or data without authorization;
  • Share account credentials in a manner that circumvents the per-seat, team-member, or other usage limits of Customer's subscription tier;
  • Attempt to reverse-engineer, decompile, or otherwise extract the underlying source code, models, or algorithms of the Service;
  • Use automated tools to scrape, crawl, or extract data from the Service outside of its supported APIs and integrations;
  • Interfere with or disrupt the integrity, security, or performance of the Service or its infrastructure;
  • Use the Service to build, or assist a third party in building, a competing product;
  • Exceed the usage limits of Customer's subscription tier in a manner intended to circumvent applicable fees;
  • Infringe PromptShop's or any third party's intellectual property or other proprietary rights;
  • Upload or transmit malware, spam, or unlawful content through the Service; or
  • Transfer or assign a Service account without PromptShop's prior written consent (see Section 15).

4. PromptShop Intellectual Property

PromptShop retains exclusive ownership of the Service and all related materials, including its software, source code, AI models and configurations, designs, graphics, user interfaces, documentation, and trademarks (including "Meuze" and associated logos), excluding Customer Data (Section 6). Customer may not copy, modify, create derivative works from, reverse engineer, or license any part of the Service or its proprietary materials without PromptShop's express written permission.

5. Fees and Billing

  • The Service is offered on usage-based subscription tiers — currently Starter ($150/month), Growth ($300/month), Pro ($500/month), and Enterprise (custom pricing; contact sales). Every paid tier unlocks all agents and integrations; tiers are differentiated by usage guidelines (e.g., orders processed per month, invoices processed per month, SKUs tracked, team members), as described at checkout or in an Order Form — not by which features are available.
  • An optional 14-day trial is available on paid tiers. Unless canceled before the trial ends, the trial converts automatically to a paid subscription at the applicable tier's rate.
  • Fees are billed in advance on a recurring basis through Stripe. Usage-based overage fees, if any, are billed in arrears.
  • Customer must maintain a valid payment method on file. Failure to maintain a valid payment method, or to pay fees when due, may result in suspension of the Service under Section 10.
  • Fees are exclusive of applicable taxes, which are Customer's responsibility, and are non-refundable except as required by law or expressly stated in an Order Form.
  • PromptShop may change fees or pricing with at least 30 days' notice. Continued use of the Service after the effective date of a fee change constitutes acceptance of the new fees.

6. Content and Customer Data License

Customer retains all right, title, and interest in the business data it submits to, or connects through, the Service — including invoices, inventory records, point-of-sale data, HR and incident records, and similar operational data ("Customer Data"). Customer grants PromptShop a limited, non-exclusive, non-transferable license to access, host, process, and use Customer Data solely to provide, maintain, secure, and improve the Service for Customer, and as otherwise described in the Privacy Policy. Customer represents and warrants that it has all necessary rights and consents to submit Customer Data to the Service, including any data relating to its own employees or customers.

7. Intellectual Property Violations

Claims that content submitted to, or accessible through, the Service infringes a third party's intellectual property rights should be reported to legal@meuze.ai. PromptShop will investigate reported claims and may remove or disable access to the allegedly infringing material and/or suspend the responsible account, consistent with applicable law and PromptShop's policies.

8. Privacy of Information

Customer must use any personal data of other individuals it encounters through the Service only for its intended business purpose and in compliance with applicable law. Customer is responsible for ensuring it has the necessary rights and legal basis to process personal data of its own employees and customers through the Service. PromptShop handles personal data submitted to the Service in accordance with the Privacy Policy.

9. Payment Services

Subscription payments are processed by Stripe, Inc., a third-party payment processor, subject to Stripe's own terms of service and privacy policy. PromptShop does not directly store Customer's full payment card numbers. PromptShop disclaims responsibility for the acts, omissions, downtime, or errors of Stripe or any other third-party payment service.

10. Cancellation and Termination of Account

Customer may cancel its subscription at any time; cancellation is effective at the end of the then-current billing period, and fees already paid are non-refundable except as required by law or an Order Form. PromptShop may suspend or terminate Customer's access to the Service, with or without notice, for non-payment, breach of these Terms, or conduct that poses a security or legal risk to PromptShop or other customers. Upon termination, PromptShop will make Customer Data available for export for 30 days, after which it may be deleted in accordance with PromptShop's data retention practices, except where retention is required to comply with law or resolve an active dispute.

11. Disclaimer of Warranties; Limitation of Liability

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROMPTSHOP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTSHOP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. PROMPTSHOP'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO PROMPTSHOP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Release

Customer connects third-party systems (such as point-of-sale, accounting, and email/calendar providers) to the Service at its own discretion. To the extent permitted by law, Customer releases PromptShop from claims, damages, and demands arising out of or related to Customer's use of, or reliance on, those third-party systems, except to the extent caused by PromptShop's breach of these Terms or applicable law.

13. Indemnity

Customer will indemnify, defend, and hold harmless PromptShop and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising out of or related to: (a) Customer's breach of these Terms; (b) Customer Data, or Customer's use of the Service in violation of applicable law; or (c) Customer's misuse of the Service or of any third-party integration credentials or access granted through the Service.

14. Legal Disputes

A. Governing Law. These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

B. Binding Arbitration. Except for disputes that qualify for small claims court or claims involving actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, Customer and PromptShop agree to resolve any dispute arising out of or relating to these Terms or the Service through binding arbitration rather than in court, as described below.

Before filing a claim, Customer and PromptShop agree to first attempt to resolve the dispute informally — by sending written notice to legal@meuze.ai (for PromptShop) or to the contact information on Customer's account (for Customer) and engaging in good-faith negotiation — for at least 45 days.

Any arbitration will be administered by National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules and Procedures then in effect, before a single arbitrator who is a retired judge or attorney. Customer and PromptShop each waive any right to a jury trial and to participate in a class, collective, or representative action.

If the dispute involves a claim of $10,000 or less and Customer has satisfied the informal-resolution requirement above, PromptShop will pay all NAM filing, administrative, and arbitrator fees. Where 25 or more similar claims are filed by or on behalf of coordinated claimants, the batch-arbitration procedures of the NAM rules will apply.

Customer may opt out of this arbitration provision by sending written notice to legal@meuze.ai within 30 days of first agreeing to these Terms.

C. If this arbitration provision is found unenforceable or inapplicable to a particular dispute, that dispute will be resolved exclusively in the state or federal courts located in New York, and Customer and PromptShop each consent to personal jurisdiction there.

15. Assignment

PromptShop may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets, without Customer's consent. Customer may not assign or transfer these Terms, or its rights or obligations under them, without PromptShop's prior written consent, except to a successor entity in connection with a merger, acquisition, or sale of substantially all of Customer's assets, provided the successor agrees in writing to be bound by these Terms.

16. General

PromptShop may amend these Terms from time to time; material changes will be communicated with at least 30 days' notice (e.g., by email or in-Service notice), and continued use of the Service after the effective date constitutes acceptance. These Terms, together with any applicable Order Form and the Privacy Policy, supersede all prior agreements and understandings between the parties regarding their subject matter. Sections 1, 2, 4, 5, 9, 11, 12, 13, 14, and this Section 16 survive termination of these Terms.
